Agreement to terms

These Terms & Conditions ("Terms") govern your access to and use of the Melodron website, API, and music-distribution platform (together, the "Services") provided by Melodron ("Melodron", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have authority to bind that entity.

Where a separately signed master services agreement or order form exists between you and Melodron, that agreement governs and prevails over any conflicting provision in these Terms.

Definitions

• "Customer" means the label, distributor, or organisation that uses the Services.
• "Customer Content" means audio, artwork, metadata, and identifiers (such as ISRC, UPC, and EAN codes) you submit to the Services.
• "DSP" means a digital service provider or streaming platform to which releases are delivered.
• "API" means the application programming interface made available by Melodron.

Use of the platform

Subject to these Terms, Melodron grants you a non-exclusive, non-transferable right to access and use the Services to ingest, manage, and distribute your catalog to DSPs. We may update, improve, or modify the Services from time to time, and will use reasonable efforts to avoid material degradation of core functionality.

Accounts & API access

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them. You must notify us promptly of any unauthorised use. We may suspend access where we reasonably believe credentials have been compromised or these Terms have been breached.

Customer content & rights

You retain all ownership of your Customer Content. You grant Melodron a limited licence to host, process, transcode, and transmit Customer Content solely to provide the Services and deliver releases to DSPs on your instruction. You represent and warrant that you hold all rights, consents, and licences necessary to distribute the Customer Content and that it does not infringe the rights of any third party.

Acceptable use

You agree not to:

• Upload or distribute content you do not have the rights to, or that is unlawful, infringing, or fraudulent;
• Misrepresent ownership, metadata, or identifiers, or engage in stream manipulation or other prohibited DSP practices;
• Interfere with, disrupt, reverse engineer, or attempt to gain unauthorised access to the Services;
• Use the Services in violation of applicable law or any DSP's terms.

Fees

Fees for the Services, where applicable, are set out in your order form or pricing agreement. Unless stated otherwise, fees are exclusive of taxes and are payable in accordance with the agreed payment terms. We may revise pricing prospectively on reasonable notice.

Intellectual property

The Services, including the API, software, and documentation, and all related intellectual property, are and remain the property of Melodron and its licensors. Except for the limited rights expressly granted here, no rights are transferred to you. The Melodron name and logo are trademarks of Melodron; all other marks belong to their respective owners.

Disclaimers

The Services are provided on an "as available" basis. To the maximum extent permitted by law, Melodron disclaims all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that delivery to any specific DSP will be accepted, uninterrupted, or error-free, as acceptance ultimately rests with each DSP.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Melodron's total aggregate liability arising out of or related to the Services will not exceed the amounts paid or payable by you to Melodron in the [twelve] months preceding the event giving rise to the claim.

Term & termination

These Terms apply for as long as you use the Services. Either party may terminate as set out in the applicable agreement or, absent such an agreement, on reasonable notice. We may suspend or terminate access immediately for material breach. Provisions that by their nature should survive termination — including content rights, intellectual property, disclaimers, and limitations of liability — will survive.

Governing law

These Terms are governed by the laws of [the Netherlands], without regard to its conflict-of-laws rules. The courts of [Amsterdam, the Netherlands] will have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections that may apply.
